The School District agrees, as a further condition of the employment of the school administrators of the district, that it shall defend, hold harmless and indemnify the administrator from any and all demands, claims, actions, suits, and legal proceedings brought against the administrator in her/his individual capacity, or in her/his official capacity as agent and employee of the District, provided the incident arose while the administrator was acting within the scope of her/his employment.
If, in good faith opinion of the administrator, a conflict exists as regards the defense to such claim between the legal position of the administrator and the legal position of the District, the Administrator may engage counsel in which event the District shall indemnify the administrator for the costs of legal defense if the District is found at fault.
